  • data analytics and artificial-intelligence-enabled tools;

  • workplace implementation and training services;

  • pilot programs and workplace trials; and

  • related consulting, assessment and support services.

The Website provides information about these products and services and may provide opportunities to request demonstrations, assessments, quotations, pilots or further information.

Unless expressly stated otherwise in a written agreement signed by Exxovantage, information contained on the Website does not constitute an offer capable of acceptance or a binding commitment by Exxovantage to provide any product or service.

2. ACCEPTANCE OF THESE TERMS

By using the Website, you agree to comply with these Terms and all applicable laws and regulations.

If you do not accept these Terms, you must discontinue use of the Website.

  • workplace health and safety programmes; or

  • compliance with applicable occupational health and safety laws and regulations.

Employers and other persons responsible for workplace safety remain responsible for identifying and managing workplace hazards and for determining whether a particular Exxovantage product or service is appropriate for their workplace.

Use of an Exxovantage product does not, by itself, constitute compliance with any workplace health and safety law, standard, regulation or regulatory requirement.

7. NO GUARANTEE OF INJURY PREVENTION

Exxovantage does not represent or warrant that use of its products or services will:

  • prevent an injury;

  • prevent a musculoskeletal disorder;

  • eliminate workplace risk;

  • eliminate worker fatigue;

  • prevent workers' compensation claims;

  • eliminate absenteeism;

  • increase productivity;

  • reduce labour costs;

  • improve employee retention; or

  • produce any particular financial or operational outcome.

Exxovantage products are intended to assist with particular workplace tasks and risks. They should be implemented following an appropriate assessment of the relevant workplace, task and worker.

8. NOT MEDICAL, LEGAL OR PROFESSIONAL ADVICE

Information published on the Website is provided for general informational purposes.

Nothing on the Website constitutes:

  • medical advice;

  • diagnosis or treatment;

  • occupational health advice specific to an individual;

9. PRODUCT USE AND INSTRUCTIONS

Products supplied by Exxovantage must be used in accordance with applicable:

  • product instructions;

  • operating instructions;

  • fitting instructions;

  • training requirements;

  • warnings;

  • maintenance requirements;

  • cleaning requirements;

  • environmental limitations; and

  • other documentation supplied by Exxovantage.

You must not modify, disassemble, alter or repair an Exxovantage product except as expressly authorised by Exxovantage.

You must not use an Exxovantage product for an application for which it was not designed or approved.

Failure to follow applicable instructions may affect product performance and may void applicable warranties.

10. INSPECTION AND MAINTENANCE

Users and organisations responsible for Exxovantage products should inspect products as required by the applicable product documentation.

Products should not be used where there is evidence of:

  • structural damage;

  • excessive wear;

  • component failure;

  • contamination;

  • unauthorised modification;

  • deterioration; or

  • other conditions that may affect safe operation.

Maintenance, replacement parts and servicing must be carried out in accordance with applicable Exxovantage instructions.

11. DEMONSTRATIONS, PILOTS AND WORKPLACE ASSESSMENTS

Exxovantage may provide demonstrations, workplace assessments, pilot programmes or trials.

Unless expressly agreed in writing, participation in a demonstration, assessment or pilot does not guarantee that:

  • a customer will achieve any particular result;

  • the customer will purchase products;

  • Exxovantage will continue providing products or services;

  • the workplace will be assessed for every potential hazard; or

  • the assessment constitutes a certification of workplace safety or regulatory compliance.

The scope, methodology, duration, deliverables and limitations of any assessment or pilot will be determined by the applicable proposal, statement of work, quotation or other written agreement.

Where there is a conflict between these Terms and a signed written agreement governing a particular project, the signed agreement will prevail to the extent of the inconsistency.

12. QUOTATIONS AND COMMERCIAL PROPOSALS

Information displayed on the Website does not constitute a binding quotation.

Prices, specifications, product availability, delivery dates and other commercial information may change without notice.

Any quotation, proposal, statement of work or other commercial offer issued by Exxovantage will be subject to the terms specified in that document.

Unless expressly stated otherwise in writing, a quotation expires [30] days after its issue.

13. ORDERS AND SALES

Where products or services are purchased from Exxovantage, the purchase will be governed by the applicable:

  • quotation;

  • purchase order;

  • order confirmation;

  • sales agreement;

  • statement of work;

  • warranty; and/or

  • Exxovantage Sales Terms & Conditions.

In the event of inconsistency, the applicable signed sales agreement or other expressly governing commercial document will prevail over these Website Terms.

Acceptance of a purchase order by Exxovantage does not constitute acceptance of additional or inconsistent terms contained in the purchase order unless expressly accepted in writing.

14. PRICING AND TAXES

Unless expressly stated otherwise:

  • prices are in United States dollars;

  • applicable sales, use or other taxes are additional;

  • shipping, freight, duties, customs charges and other delivery costs may be additional; and

  • pricing is subject to change.

The customer is responsible for applicable taxes unless Exxovantage is legally required to collect and remit them.

15. DELIVERY

Estimated delivery dates are estimates only unless expressly guaranteed in writing.

Exxovantage will not be responsible for delays caused by circumstances outside its reasonable control, including:

  • manufacturing delays;

  • supplier delays;

  • shipping delays;

  • customs or border delays;

  • labour disruptions;

  • natural disasters;

  • government action;

  • shortages of materials;

  • transportation interruptions;

  • acts of war or terrorism;

  • cyber incidents; or

  • other force majeure events.

Risk of loss and title will transfer in accordance with the applicable sales agreement or quotation.

16. WARRANTIES

Products and services supplied by Exxovantage may be subject to separate written warranties.

Except to the extent expressly provided in an applicable written warranty, Exxovantage makes no additional warranty concerning any product or service.

Warranty terms may differ between products, customers and jurisdictions.

Nothing in these Terms is intended to exclude a warranty or consumer right that cannot lawfully be excluded.

17. RETURNS AND CANCELLATIONS

Returns, cancellations, exchanges and refunds are subject to the applicable sales agreement, quotation, order terms or Exxovantage return policy.

Products that have been customised, modified, used in a pilot programme or manufactured specifically for a customer may be subject to additional return restrictions.

No return will be accepted unless authorised by Exxovantage in accordance with the applicable return procedure.

18. INTELLECTUAL PROPERTY

All intellectual property rights in or relating to the Website and its content are owned by Exxovantage or its licensors unless expressly stated otherwise.

This includes, without limitation:

  • trademarks;

  • logos;

  • product names;

  • photographs;

  • graphics;

  • videos;

  • written content;

  • reports;

  • designs;

  • product documentation;

  • software;

  • databases;

  • interfaces;

  • methodologies;

  • assessment tools;

  • algorithms;

  • data models;

Nothing in these Terms transfers ownership of intellectual property to you.

19. EXXOVANTAGE TRADEMARKS

"Exxovantage", "ExxoLift" and other names, logos and marks displayed on the Website may constitute trademarks or trade names of Exxovantage or its licensors.

You must not use Exxovantage trademarks without prior written permission, except where such use is permitted by applicable law.

Nothing on the Website grants an implied licence to use any Exxovantage trademark.

20. LIMITED WEBSITE LICENCE

Subject to these Terms, Exxovantage grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Website for legitimate informational and business purposes.

You must not, without our prior written consent:

  • create derivative works;

Where applicable, customers remain responsible for appropriate human review and professional judgement.

23. USER INFORMATION AND SUBMISSIONS

If you submit information through the Website, including through a contact form, enquiry form, quotation request, pilot application or other form, you represent that:

  • the information is accurate to the best of your knowledge;

  • you have authority to provide the information;

  • providing the information does not breach any obligation owed to another person or organisation; and

  • you have all rights and permissions necessary for Exxovantage to use the information for the purposes described in our Privacy Policy or applicable agreement.

You should not submit confidential technical, commercial, trade-secret or proprietary information through the Website unless Exxovantage has expressly agreed to receive it under a confidentiality agreement.

Submission of information through the Website does not automatically create a confidential or fiduciary relationship between you and Exxovantage.

Where required by applicable law, material connections between an endorser and Exxovantage will be appropriately disclosed.

Results described in case studies, pilot programmes, assessments, testimonials or research may be specific to the circumstances in which they were obtained.

No case study or testimonial constitutes a guarantee that another customer will obtain equivalent results.

Any statement concerning potential reductions in fatigue, injury risk, musculoskeletal loading, absenteeism, workers' compensation costs, labour costs or increases in productivity should be understood as relating to the particular circumstances and methodology described with that statement.

Third-party websites and services are not controlled by Exxovantage.

Exxovantage is not responsible for:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF EXXOVANTAGE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE WILL NOT EXCEED THE GREATER OF:

(a) THE AMOUNT YOU PAID TO EXXOVANTAGE FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) US$100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

34. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Exxovantage and its directors, officers, employees, affiliates, contractors, licensors and service providers from and against claims, liabilities, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to:

  1. your breach of these Terms;

  2. your unlawful use of the Website;

  3. your violation of another person's rights;

  4. content or information you submit to Exxovantage;

  5. your misuse of an Exxovantage product;

  6. your unauthorised modification of an Exxovantage product; or

  7. your violation of applicable law.

This indemnification obligation does not apply to the extent a claim results from Exxovantage's own gross negligence, wilful misconduct or other conduct for which indemnification cannot lawfully be required.

35. CONFIDENTIAL INFORMATION

Unless otherwise agreed in writing, information available on the Website should not be treated as confidential.

If Exxovantage and a customer enter into a separate confidentiality or non-disclosure agreement, that agreement will govern confidential information exchanged between the parties.

36. FORCE MAJEURE

Exxovantage will not be responsible for delay or failure to perform caused by events beyond its reasonable control, including:

  • natural disasters;

  • fire;

  • flood;

  • severe weather;

  • epidemic or pandemic;

  • war;

  • terrorism;

  • civil unrest;

  • labour disputes;

  • transportation disruption;

  • supply-chain disruption;

  • government action;

  • sanctions;

  • export restrictions;

  • cyberattacks;

  • telecommunications failures;

  • power failures;

  • shortages of materials or components; or

  • other events beyond reasonable control.

41. GOVERNING LAW

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.

43. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES THAT ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE OR CONSOLIDATED ACTION.

This provision applies only to the extent permitted by applicable law.

44. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, where legally permitted.

If modification is not possible, the affected provision will be severed and the remaining provisions will remain in full force and effect.

45. NO WAIVER

A failure or delay by Exxovantage to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

A waiver must be expressly provided in writing.

46. ASSIGNMENT
